These Labconscious.com Terms of Use (“Terms”) apply to the access and use of all content, materials, services, software, tools, programmatic computer code, and information (“Information”) available on labconscious.com (the “Site”) that includes a direct link to labconscious.com and/or these Terms. Labconscious.com (“Labconscious”) is operated by New England Biolabs, Inc. (“NEB”), located at 240 County Road, Ipswich, MA, 01938 (Labconscious and NEB collectively, “we,” “us,” or “our”). By accessing or using the Site and/or Information accessible therein (the Site together with such Information are collectively “Content”), you agree, on behalf of yourself and the institution, organization or company for which you are accessing or using the Site, to be legally bound by these Terms. As such, it is important to read these Terms carefully.  If you do not agree with or do not agree to be bound by these Terms, immediately stop using and do not access the Content.

We reserve the right to revise these Terms or any portion of them at any time without notice by posting a new version on the Site. You are bound by any such revisions and as such we recommend periodically visiting the Site to review any updated Terms. As a condition of your access to or use of the Content, unless otherwise expressly provided herein or pursuant to other applicable terms or agreements, you acknowledge the following: no right or license to the Content is implied or granted, you will not use the Content for any purpose that is unlawful or prohibited by these Terms, and you will comply at all times with applicable laws and regulations. You may not use the Content in any manner that could damage, alter, disable, overburden, or impair the operation of the Site or any server or network connected to the Site, or that could interfere with any other party’s use and enjoyment of the Content. You may not attempt to gain unauthorized access to the Site or Site-related accounts, computer systems, servers or networks, or to any of the Content through hacking, password mining, or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Content. You may not combine the Content with any virus, worm, Trojan horse, or other harmful or malicious code, file, script, agent, or program. If you violate any of these Terms, your permission to access and use the Content, including any Information downloadable, printable or otherwise made available to you or stored via the Site automatically terminates, in addition to any other remedy at law or otherwise that we may have against you. 

Except as expressly provided for in writing elsewhere on the Site, where you choose to provide, upload, enter, link to or display (individually and together “Display”) on the Site any audio, video, text, images, data, or other material (individually and together “Your Communications”), you grant us a worldwide, non-exclusive, royalty-free, irrevocable and sublicensable license to use, reproduce, adapt, publish, translate, and distribute Your Communications in any and all media. Your Communications must be your own and must not be obscene, illegal, defamatory, threatening, invasive of privacy, infringing on any third party’s rights, or injurious in any other way to third parties, to us or to our Content. You represent that you have appropriate rights to use and/or Display Your Communications on the Site. Do not Display any of Your Communications that you do not want to be used or made public. We reserve the right to remove any of Your Communications from the Site at any time, and for any reason, without notice.

Privacy Policy

Use of the Content is subject to our https://www.labconscious.com/privacy-policy, which is incorporated into these Terms by reference. Your use of the Content constitutes your confirmation that you have read and accepted this Privacy Policy. You expressly acknowledge and agree that your collection, use, and storage of any information available through the use of the Site is at your sole risk and responsibility.

Copyright and Use

As between you and us, all Information contained on the Site is copyright of NEB, unless specifically identified otherwise. You may not use or copy the Content other than for non-commercial individual reference purposes with all copyright or other proprietary notices retained. Except as expressly provided above and/or in other applicable terms or agreements, you may not otherwise copy, display, download, install, use, compile, distribute, mirror on another server, transfer, license, lease, loan, sell, modify, reproduce, republish, retransmit, or cause or allow the reverse engineering, disassembly, or decompilation of, any Information contained in the Site or any portion thereof in any electronic medium or in hard copy, or create any derivative work based on such Information, unless expressly agreed to in writing by an NEB authorized representative. You may not remove, alter, or obscure any copyright, trademark, or other proprietary rights notice on or in the Content, and/or patent, copyright, or otherwise seek exclusive rights to the Content, whether as a whole or any part thereof.

Trademarks

Trademarks included in the Content are either registered trademarks or trademarks of NEB or its affiliates, or of third-party owners, in the United States and/or other countries. The use of trademark symbols in the Content does not necessarily indicate that the trademark is registered in the country where it is being read.  The names of actual companies and products, and/or third-party trademarks, trade names, and logos included in the Content may be the trademarks of their respective owners. Any rights not expressly granted herein are reserved.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER LABCONSCIOUS.COM, NEB NOR ANY OF ITS AFFILIATED PARTIES WILL BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF CONTENT, LOSS OF GOODWILL, LOSS OF BUSINESS, LOSS OF PROFITS, WORK STOPPAGE, COMPUTER VIRUS, FAILURE OR MALFUNCTION, AND/OR LITIGATION) UNDER ANY LEGAL THEORY, WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, RESULTING FROM YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE CONTENT, OR USE OF OR ACCESS TO ANY WEBSITES LINKED TO THE SITE. Miscellaneous

If any provision or part of these Terms is found by any court of competent jurisdiction to be invalid or unenforceable under any applicable law, such invalidity or unenforceability will not render these Terms unenforceable or invalid as a whole, and such provisions will be deleted without affecting the remaining provisions herein. Our failure or neglect to enforce any of our rights under these Terms will not be deemed to be a waiver of our rights. We are permitted to assign, transfer, and subcontract our rights and/or obligations under these Terms without any notification or consent required. These Terms, including any legal notices and disclaimers on the Site, constitute the entire agreement between us and you in relation to your use of the Content and supersede all prior agreements and understandings with respect to the same. Headings are for convenience only and will not be used in the interpretation of the Terms.
